1. About these terms
These terms apply when you buy, lease or ask us to broker or appraise a domain name through this website. "We" and "us" means IOANK LTD, registered in England and Wales, company number 15285630, registered office 14/2e Docklands Business Centre, 10-16 Tiller Road, London E14 8PX. You can contact us at sales@ioank.domains. If a written agreement for a specific deal differs from these terms, the written agreement applies.
2. Listings and offers
Domains shown on this website are invitations to make an offer, not offers to sell. A name may sell elsewhere at any time. A sale is agreed only when both sides confirm the price and terms in writing, usually by email, and an escrow transaction is opened.
Some domains are listed on behalf of their registered owners. In that case we act as their agent, and the registrant who transfers the domain to you may differ from IOANK LTD.
3. Price and VAT
Prices are in pounds sterling unless agreed otherwise. VAT is added where it applies, depending on where you are and whether you buy as a business. Your quote states whether VAT is included and who pays the escrow fee.
4. Escrow and payment
Payment is made through a licensed third-party escrow or marketplace service agreed with you, such as Escrow.com, Afternic or Sedo. Their own terms apply to the payment. We do not take payment for a domain directly unless we agree this with you in writing.
5. Transfer
Once escrow confirms payment, we start the transfer within two working days by providing a transfer code, changing the registrar tag, or moving the domain within the registrar. Transfer times depend on the registry and registrar. You must accept the transfer and confirm receipt to the escrow service promptly. Ownership passes to you when the domain is registered in your name or account.
If a domain cannot be transferred because of a registry lock, we will tell you before you pay. If it cannot be transferred after you pay, the escrow service will return your payment under its terms.
6. Payment plans
Payment plans are offered at our discretion. Each plan is set out in a written agreement covering the deposit, the instalments, who holds the domain until the final payment, whether you may use it in the meantime, and what happens if payments are missed. The domain transfers to you after the final payment clears.
7. Leases
A lease gives you the right to use a domain for an agreed term and monthly fee. We remain the registrant during the lease. Any option to buy, and how lease payments count towards the price, is set out in the lease agreement.
8. Your responsibilities
You are responsible for how you use a domain after you receive it, including checking that your use does not infringe anyone's trademark or other rights. Buying a domain does not give you rights to a trademark. You must keep the domain renewed with your registrar.
9. Brokerage and appraisals
Brokerage, appraisals, naming, leasing, backorders and build work are agreed separately in writing, with the fee and scope stated before work starts.
- Brokerage: we act on your behalf and do our best to acquire the domain within your budget, but cannot guarantee the owner will sell. Unless agreed otherwise, a success fee is payable only if the purchase completes.
- Appraisals: an appraisal is our opinion of likely market value based on the information available at the time. It is not a guarantee of sale price, a formal valuation for tax, accounting, insurance or legal purposes, or legal advice.
- Conflicts: we will tell you if we own, or act for the owner of, a domain we are appraising or brokering for you.
10. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited. Otherwise, our total liability to you for any domain sale or service is limited to the amount you paid us, or through escrow to the seller, for that domain or service. We are not liable for indirect losses or for loss of profit, business or goodwill. If you are a consumer, you also have your statutory rights, which these terms do not affect.
11. Law and disputes
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living elsewhere in the UK, you may also bring proceedings in your local courts. If something goes wrong, please contact us first and we'll try to resolve it.
